Terms of Service

The binding agreement between you and Kalinklo Limited, a Hong Kong company trading as The Global Conservatory ("TGC", "we", "us"), covering your access to and use of our website, portal, and related services (collectively, the "Platform"). By accessing or using the Platform you accept these Terms.

Plain English summary

What you're agreeing to

  • You are at least 16 (or your parent/guardian accepts on your behalf for under-16s; under-13s use a parent-managed account only).
  • We are a marketplace. Faculty are independent contractors โ€” they teach, set their rates, and run their own teaching practice. We provide the platform, payments, scheduling, and tools.
  • Faculty set their own rate. We add 25% on top to set the price you pay. The platform retains the 25%; the faculty receives 100% of their stated rate.
  • Lessons happen on Zoom (or another platform we approve). Recordings require both parties' consent.
  • Cancellations follow the Refund Policy โ€” full refund if you cancel 24+ hours ahead, 50% credit within 24 hours.
  • You won't try to hire faculty off-platform while you're our customer or for 90 days after your last lesson with them.
  • We can suspend or terminate your account for breach of these Terms or our Acceptable Use Policy โ€” at our reasonable discretion.
  • Disputes go to binding arbitration in Hong Kong. No class actions. Our liability is capped at what you paid us in the prior 12 months (or USD 100, whichever is greater).

Who can use the Platform

Two kinds of users

Students buy lessons. Faculty deliver them. Faculty have an additional contract โ€” the IC Agreement.

Account, sign-in, and security

You sign in with a one-time code we email you. You're responsible for what happens under your account.

Paid lessons, prices, and the platform fee

Faculty set the rate. We add 25% on top so they take home 100%. We process payments through Shopify.

Bookings, cancellations, and refunds

Off-platform contracting (no poaching)

If you found a teacher through us, please book through us. For 90 days after your last booking, you can't go around the platform to keep working with them.

Recordings and content

No recording without both parties' consent. Recordings are jointly owned. We don't watch them.

Intellectual property

Your stuff stays yours. We have permission to display it while you're on the platform. Our brand and platform stay ours.

Termination and account closure

You can leave any time by emailing us. We can suspend you if you break the rules.

Disclaimers

The Platform is provided 'as is.' We don't promise specific outcomes. Faculty are independent contractors, not employees.

Limitation of liability

Our maximum legal exposure to you is what you paid us in the past 6 months. No consequential damages.

Indemnification

If your actions cause us to get sued or fined, you cover our costs.

Force majeure

If something major outside our control disrupts service (war, pandemic, internet outage), we're not liable for the disruption.

Governing law and arbitration

Hong Kong law. Disputes go to private arbitration in Hong Kong.

Class-action waiver

No class-action lawsuits. Your dispute is between you and us individually.

Changes to these Terms

We can update these Terms. Big changes: 30 days notice. Using the Platform after that = you accept.

Severability and waiver

If a court strikes down one part, the rest still applies. We don't waive a right just because we didn't enforce it once.

Entire agreement

These Terms + the policies they reference = the whole agreement. No verbal side-deals.
